Background/ Definitions/ Scope 

Vesta Social Innovation Technologies (“Vesta”) is a software technology company located at [16 Humberstone Drive, Toronto, ON M2N 7C1] (“Vesta”, “we”, “us”, or “our”).  These Terms of Use (“Terms”) govern the use of Vesta’s Resilience in Action website: http//resilienceinaction.ca (the “Website”). The terms “you” and “your” refer to users of this Website. The Website is designed to provide you with a safe, secure, and anonymous digital space to find information about ways to respond safely to survivors of gender-based violence and connect them with support from local services. In this way, Vesta functions as the intermediary for services provided by third parties. 

 

User Requirements

By using our Website, you are entering into a contract with Vesta under these Terms of Use. 

You represent that if you are using the Website on behalf of a legal entity, that you are authorized to enter and bind the entity to these Terms and use our Website. 

 

Privacy and Confidentiality Requirements

For information about how we protect your data, please refer to our Privacy Policy. 

 

Acceptable Use

You may only have access to our Website using authorized means. It is your responsibility to check to ensure you access the correct Website domain. Vesta is not liable if you do not have a compatible device and cannot access the Website from your device. 

By using the Website, you further agree that:

  1. You will only use our Website for your sole professional use.
  2. You will not use the Website for unlawful purposes, including but not limited to sending or storing any unlawful material or for fraudulent purposes;
  3. You will not use the Website to cause nuisance, annoyance, or inconvenience, including targeting individuals or making false claims;
  4. You will not impair the proper operation of the Website;
  5. You will not try to harm the technology used for the Website in any way whatsoever;
  6. You will only use our Website through an internet connection you are authorized to use;
  7. You will comply with all applicable laws of the area in which you are present while using the Website. 

Vesta reserves the right to immediately terminate your use of our Website should you not comply with any of the above rules.

Subject to your compliance with these Terms, Vesta grants you a limited, non-exclusive, revocable, non-transferable license to use our Website.

You may not use, copy, adapt, modify, create derivative works from, license, sell, transfer, publicly display, publicly perform, reproduce, transmit, stream, broadcast or otherwise exploit the Website except as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Vesta or its licensors, except for the licenses and rights expressly granted in these Terms. You have no right to sublicense the license rights granted in this section, unless otherwise granted permission by Vesta. 

 

Intellectual Property

These Terms provide only a limited license to access and use the Website. Accordingly, Vesta does not transfer any ownership or intellectual property interest or title in and to the Website to you or anyone else in connection with your use of the Website. All text, graphics, user interfaces, visual interfaces, photographs, sounds, artwork, computer code (including html code), programs, software, products, information, and documentation as well as the design, structure, selection, coordination, expression, “look and feel,” and arrangement of any content contained on or available through the Website (collectively, the “Materials”) are exclusively owned, controlled, or licensed by Vesta. All names, logos, marks, and icons identifying Vesta and its products, or services are owned exclusively by Vesta, and any use of such marks without the prior express written permission of Vesta is hereby expressly prohibited. Vesta alone (and its third-party licensors, where applicable) shall own all rights, title, and interest, including all related intellectual property rights (including without limitation photographs and graphic images), in and to the Website and any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or any other party relating to our Website.

Other trademarks or service marks identified on or through the Website may be the trademarks or service marks of third parties. No part of the Terms will be construed as granting any license or right to use any trademarks (whether by implication or otherwise), including Vesta’s trademarks, except with our express written permission or such other party that may be the owner thereof. The Materials may be protected under copyright, trademark and other laws of Canada and other countries, and Vesta owns all copyright in the selection, co-ordination, arrangement and enhancement of the Materials. Any use of any of the Materials (whether in whole or in part) is strictly prohibited, except only and to the limited extent expressly permitted above. For the purposes of these Terms, any use of extracts from the Website other than in accordance with these Terms and the Privacy Policy is prohibited. 

 

The Website may contain links to other websites. These links are provided solely as a convenience to you and the inclusion of any link does not imply endorsement, investigation or verification by Vesta of the linked website or information contained therein. Your use of such sites and your dealings with the owners or operators thereof are at your own risk.

This section shall survive termination of these Terms.

 

Breach, Remedies, and Indemnity

By accepting these Terms and using the Website you agree that you shall indemnify and hold harmless Vesta, subsidiaries, partners, parent company, sister company, its licensors, and each of their officers, directors, other users, employees, attorneys and agents from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys’ fees and costs) arising out of or in connection with: your violation or breach of these Terms or any applicable law or regulation, whether or not referenced herein; your violation of any rights of any third party, including, without limitation breach of privacy laws, or your use or misuse of the Website. This section shall survive termination of these Terms.

 

Limitation of Liability

The information, recommendations, and content provided to you on or through the Website is for general information purposes only and does not constitute advice. Your use of our Website is at your sole risk. Vesta’s Website is provided on an “as is” and “as available” basis. Vesta does not guarantee that (the contents of) the Website are free of errors, defects, malware, and viruses or that the contents of the Website are correct, complete, up to date, accurate, or fit for a particular purpose, or non-infringing. Vesta shall not be liable for any damages resulting from the use of (or inability to use) our Website, including damages caused by malware, viruses or any incorrectness or incompleteness of the contents of the Website.

Vesta shall further not be liable for any damages caused by the actions or omissions of any third parties. 

For the avoidance of doubt, nothing in these Terms shall affect your statutory rights. Nothing in these Terms shall limit or exclude our liability to you to the extent that, by applicable law, such liability may not be so limited or excluded.

You expressly understand and agree that Vesta shall not be liable to you for any loss of profits, goodwill, data, personal injury including death, opportunity or sales, or for any punitive, indirect, incidental, special, consequential or exemplary damages or other intangible losses (whether or not your have been advised of the possibility of such damages), resulting from: (a) the use or the inability to use the Website; (b) the cost of procurement of substitute goods and services; (c) unauthorized access to, loss, or alteration of your transmissions or data; or (d) any other matter relating to the Website. 

Vesta will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control. This section shall survive termination of these Terms.

 

Warranties and Disclaimer 

Vesta does not make any warranty, representation, or condition that (i) the Website will meet your requirements; (ii) the Website will be available, uninterrupted, timely, secure, or error-free; (iii) the quality of any services, information, or other material obtained by you through the Website will meet your professional expectations. 

 

Term and Termination 

You are entitled to terminate your use of the Website at any time by discontinuing your use of it. 

Vesta is entitled to terminate your use of the Website at any time without notice and with immediate effect by disabling your use of the Website for any reason, including, if you: violate or breach any term of these Terms, or misuse the Website. 

 

Relationship

These Terms do not create a joint venture, agency, partnership, or other form of joint enterprise between you and us. Except as expressly provided herein, neither party has the right, power, or authority to create any obligation or duty, express or implied, on behalf of the other.

 

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to principles of conflicts of laws.

 

Notices

Vesta may give notice by means of a general notice on the Website, if deemed appropriate by Vesta.

 

Severability and Waivers

The failure of Vesta to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.

 

Entire Agreement

These Terms, including the Privacy Policy (and any other referenced documents in these Terms) constitute the entire agreement between you and Vesta and governs your use of the Website, superseding any prior version of these Terms between you and Vesta.

 

Modification of Terms

Vesta reserves the right, at its sole discretion, to modify or replace any of these Terms, or change, suspend, or discontinue the Website (including without limitation, the availability of any feature, database, or content) at any time without notice or liability.  

 

Assignment

You may not assign your rights under these Terms without prior written approval of Vesta.

 

Force Majeure

No party will be liable for any failure of or delay in the performance of these Terms for the period that such failure or delay is beyond the reasonable control of a party, including war, riots, fire, flood, hurricane, pandemic, earthquake, etc., materially affects the performance of any of its obligations under these Terms, and could not reasonably have been foreseen or provided against, but will not be excused for failure or delay resulting from only general economic conditions or other general market effects.

 

Survival

Clauses noted herein shall survive expiration or termination of these Terms, along with any clauses that by their nature should survive the termination of these Terms.

 

Dispute Resolution

You irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of the Province of Ontario with respect to any dispute or claim arising out of or in connection with these Terms.
